These Terms & Conditions (“Terms”) govern all sales of Made New products by Made New Sole Co., Ltd to all customers (“Customer”, “you”, or “your”). By placing an order, the Customer agrees to these Terms in full.
Scope

These Terms apply to all sales, quotations, order confirmations, and invoices issued by Made New Sole Co., Ltd. Any terms or conditions proposed by the Customer that are inconsistent with these Terms shall be void unless expressly agreed to in writing by Made New. Any verbal or informal commitments not confirmed in writing shall not be binding on Made New.

Pricing: All prices are quoted in U.S. Dollars (USD) and include Lao VAT at 10%.

Payment Terms:

International Wire: Paying by wire transfer is only an option for wholesale customers. Full payment is due at the time of order confirmation. All bank or transfer fees are the responsibility of the Customer. Payments may be made in the Customer’s local currency, converted to Lao Kip (LAK) at the official exchange rate on the date of payment as published by Banque pour le Commerce Exterieur Lao Public..

Credit Card: Full payment is due at the time of order confirmation. Orders will be shipped once payment is successfully processed. We use CyberSource and the NTT Data payment platform to securely process payments and prevent fraud. Your card information is handled securely by these providers, and we do not store any credit card details.

Cash: Payment can be made in cash at the time of order confirmation.

QR Payment (LAPNet): Payments can be made using your bank’s QR scanning system through the LAPNet national payment network. QR payments are processed via the LAPNet national payment network, accepted by all major Lao banks.

Bank Transfer: Paying by bank transfer is only an option for wholesale customers. Full payment is due at the time of order confirmation. All bank or transfer fees are the responsibility of the Customer.

Credit Card: Full payment is due at the time of order confirmation. Orders will be shipped once payment is successfully processed. Order Confirmation: Unless otherwise specified, orders are not considered confirmed until full payment (or proof thereof) is received and verified.
Minimum Order Quantity (MOQ)

Returning Wholesale Customers: Minimum order of 20 products in any combination.

New Wholesale Customers: Minimum order quantities as stated in the most recent Made New International B2B Price and MOQ list.

Retail Customers: Retail pricing posted online, in our shop, or at the event apply.

Changes: All prices and MOQs are subject to change without notice.
Product Variations & Defects
-
Due to the handmade and recycled nature of Made New products, minor color or texture variations are normal and do not constitute defects. A “defect” refers exclusively to a manufacturing flaw that renders the product unfit for its intended use and is directly attributable to Made New. Made New’s determination of defect eligibility is final. Damage resulting from shipment, mishandling, improper use, or natural wear is not considered a defect. Defects must be reported in writing with photo or video evidence within 5 business days of delivery. Upon verification, Made New will offer, at its discretion, a refund, replacement, or credit.
Returns, Replacements, and Credits

All Sales: All Sales are final and all items are non-refundable unless products are defective.

Eligible Returns: Only products with verified manufacturing defects are eligible for refund, replacement, or store credit. Made New will not pay return shipping costs for approved defect-related returns.

Non-Eligible Returns: Returns are not accepted for minor color or texture variations, natural wear, misuse, handling damage, or change of mind.

Return Authorization: All returns must be pre-approved in writing by Made New before shipment. Unauthorized returns may be refused. Approved refunds will be issued as store credit or refund, with any applicable processing fees deducted. Refunds will be processed within 10 business days after confirmation.

Non-Refundable Costs: All shipping charges, customs duties, insurance costs, and bank or transfer fees are non-refundable under any circumstances.
Lead Time

Retail Orders: Check our availability online, come check our shop, or you can contact us to check the stock of a particular product.

Wholesale Orders: Please allow time for us to prepare a formal quotation and confirm stock availability.

Special, Large, or Custom Orders: Lead times will be agreed upon in writing between the Customer and Made New prior to order confirmation. Quoted lead times are estimates and may vary due to production capacity or material availability.
Delivery & Shipping

Method: All shipments are made via Made New’s appointed courier or logistics partners unless otherwise agreed in writing. We ship with DHL internationally. Inside Laos, we use HAL or Anousith.

Shipping Rates: Contact us for the latest international shipping rates.

Transfer of Risk: Risk of loss or damage passes to the Customer once the goods are handed over to the courier or logistics company. Title to goods transfers upon full payment.

Customs & Import Duties: Orders shipped outside Laos may be subject to customs duties or taxes, which vary by country. Customers are responsible for any applicable charges. We are not liable for delays, loss, or damage caused by customs processes or circumstances beyond our control after dispatch.
Order Cancellation

Only wholesale orders made directly with our sales team (i.e., not purchased through our online store) may be canceled. Please contact us as soon as possible to not incur extra charges.

Before Packing: Full refund less applicable bank transaction fees.

After Packing, Before Courier Handover: Refund minus 5% administrative and handling fee plus any processing fees of the financial transaction..

Transfer of Ownership: Once goods have been transferred to the courier, the sale is final.

Force Marjeure

Neither party shall be liable for any delay or failure to perform due to circumstances beyond reasonable control, including but not limited to natural disasters, war, civil unrest, government action, pandemics, fuel shortages, or labor strikes.

The affected party must notify the other in writing as soon as practicable.

The performance timeline will be extended by the duration of the disruption.

If the delay exceeds 15 days, either party may terminate the affected order without penalty.
Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Lao People’s Democratic Republic. Any disputes arising from or related to these Terms shall be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to the competent courts of Vientiane, Lao PDR. In case of translation, the English version of these Terms shall prevail.
Entire Agreement

These Terms constitute the entire agreement between Made New and the Customer and supersede all prior communications or understandings. No amendment or waiver shall be effective unless made in writing and signed by an authorized representative of Made New Sole Co., Ltd.
